These Terms & Conditions explain the basis on which Grafika.by.K provides design, website, SEO, digital marketing and related services.
By accepting a quotation, proposal or otherwise instructing Grafika.by.K to begin work, you agree to the terms applicable to the agreed project or service.
1. About Grafika.by.K
Grafika.by.K is an independent digital design and growth studio based in Purton, Wiltshire, UK.
Services may include website strategy, UX and web design, website development, branding and graphic design, SEO, website optimisation, digital marketing support, content, consultancy and ongoing digital support.

2. Quotations and project scope
Before work begins, the agreed services will normally be outlined in a quotation, proposal, email or other written agreement.
The scope may specify:
Work to be completed
Deliverables
Estimated timescales
Project price or hourly/day rate
Payment schedule
Included revisions
Client responsibilities
Any third-party costs
Quotations are based on the information available when they are prepared.
Work requested outside the agreed scope may be quoted separately or charged at an agreed additional rate.
3. Starting a project
A project is considered confirmed when the client accepts the quotation or proposal and any required initial payment has been received.
Grafika.by.K may not reserve project time until these requirements have been completed.
Estimated start and completion dates may change if information, content, feedback, approvals or payments are delayed.
4. Payments
Payment terms will be stated on the relevant quotation, proposal or invoice.
Where a deposit or initial payment is required, work will normally begin after payment has been received.
Invoices must be paid by the due date shown on the invoice.
Grafika.by.K reserves the right to pause work where an invoice becomes overdue.
Any additional work outside the agreed scope may be invoiced separately.
5. Client responsibilities
To deliver work effectively, clients are responsible for providing requested information, content, access, feedback and approvals within reasonable timescales.
This may include:
Text and website content
Images and brand assets
Login or platform access
Product or service information
Legal or regulatory information
Feedback and approvals
The client is responsible for ensuring that materials they provide can legally be used.
Grafika.by.K is not responsible for delays caused by missing information, delayed feedback or unavailable third-party access.
6. Revisions and changes
The number or extent of revisions included in a project may be specified in the quotation or proposal.
Revisions should relate to the agreed project scope.
Significant changes in direction, additional concepts, new pages, additional functionality or work requested after approval may be treated as additional work and quoted separately.
7. Websites and third-party platforms
Website projects may rely on third-party platforms and services including hosting providers, website builders, domain providers, plugins, integrations, APIs or other software.
Grafika.by.K cannot guarantee the continuous availability, functionality or future behaviour of services operated by third parties.
Third-party providers may change their features, pricing, terms or functionality independently of Grafika.by.K.
Unless otherwise agreed, clients are responsible for ongoing third-party charges associated with their website or digital services.
8. SEO and search performance
SEO work is intended to improve the technical quality, relevance, usability and search visibility of a website.
However, search engines control their own algorithms and rankings.
Grafika.by.K cannot guarantee specific Google rankings, traffic levels, enquiries or commercial results.
SEO recommendations and work are based on professional judgement, available information, recognised good practice and the circumstances of the client's website and market at the time.
Search performance can also be affected by competitors, algorithm changes, website changes, market conditions and other factors outside Grafika.by.K's control.
9. Advertising and marketing performance
Where Grafika.by.K provides support with Google Ads, paid advertising, landing pages, content or other marketing activities, the work will be carried out with the aim of improving relevance, performance and commercial effectiveness.
However, Grafika.by.K cannot guarantee a particular number of leads, sales, conversions, return on advertising spend or other commercial outcome.
Results can be influenced by factors outside Grafika.by.K's control, including market demand, competition, budgets, pricing, the client's offer and the client's sales process.
10. AI-assisted working
Grafika.by.K may use artificial intelligence and automation tools to support activities such as research, analysis, ideation, content development, workflow efficiency and quality assurance.
AI is used as a supporting tool rather than as a replacement for professional judgement.
Final strategy, design decisions and client deliverables remain subject to human review and professional oversight.
Where confidential or sensitive client information is involved, reasonable care will be taken when selecting how and where information is processed.
11. Content and accuracy
Clients are responsible for checking and approving final factual information before publication, including:
Prices
Product information
Contact information
Technical claims
Legal statements
Regulatory information
Terms and policies specific to their business
Grafika.by.K will take reasonable care when preparing content but cannot independently verify every factual, technical or legal claim relating to a client's business.
12. Intellectual property
Unless otherwise agreed, Grafika.by.K retains ownership of working files, concepts and unfinished work.
Once the agreed project fees have been paid in full, the client will receive the agreed rights to use the final approved deliverables.
Third-party assets such as fonts, stock imagery, software, plugins, templates or licensed content remain subject to their respective licence terms.
Grafika.by.K retains the right to display completed work in its portfolio, website, social media and promotional materials unless confidentiality or another arrangement has been agreed in writing.
13. Portfolio and case studies
Grafika.by.K may reference completed client work as examples of previous experience.
This may include displaying designs, website screenshots, publicly available project information and a description of the services provided.
Confidential information will not intentionally be published.
Clients who require a project to remain confidential should discuss this before work begins.
14. Ongoing services
Ongoing support, website maintenance, SEO, marketing or digital-growth arrangements may operate on a monthly or recurring basis.
The exact services, price and cancellation arrangements will be stated in the relevant proposal or agreement.
Unused time or services do not automatically roll over unless specifically agreed.
15. Project delays and inactivity
If a project becomes inactive because required client information, feedback or approvals have not been provided, Grafika.by.K may reschedule the remaining work.
Where a project remains inactive for an extended period, a revised schedule or additional fee may be required before work resumes.
16. Cancellation
Cancellation terms may vary depending on the type and stage of a project and will normally be specified in the relevant proposal or agreement.
Clients will remain responsible for payment for work already completed and for any non-refundable third-party costs incurred on their behalf.
Deposits or advance payments may be non-refundable where project time has already been reserved or work has commenced, subject to applicable law and the agreed project terms.
17. Liability
Grafika.by.K will take reasonable care when providing services.
However, to the extent permitted by law, Grafika.by.K will not be responsible for indirect or consequential losses arising from matters outside its reasonable control, including third-party service failures, search-engine changes, platform outages or actions taken by the client or other suppliers.
Nothing in these Terms & Conditions excludes or limits liability where doing so would be unlawful.
18. Website information
Information provided on the Grafika.by.K website is intended as general information about services and previous work.
Website content does not constitute legal, financial or other regulated professional advice.
Service descriptions and prices shown on the website may change and do not constitute a binding quotation unless confirmed separately in writing.
19. Privacy
Personal information is handled in accordance with the Grafika.by.K Privacy Policy.

20. Changes to these terms
These Terms & Conditions may be updated occasionally to reflect changes to Grafika.by.K's services, working practices or legal requirements.
The version applicable to a specific client project may also be supplemented by the quotation, proposal or written agreement accepted for that project.
21. Governing law
These Terms & Conditions are governed by the laws of England and Wales.
Any disputes will be subject to the jurisdiction of the courts of England and Wales, unless applicable law requires otherwise.
